Legal Counsel Services – The Law Foundation of Nova Scotia
The Law Foundation of Nova Scotia (the “Foundation”) was established in 1976 and is continued as a body corporate under section 72(1) of the Legal Profession Act (2005). The Foundation receives and distributes interest earned on lawyers’ pooled trust accounts in accordance with the objects set out in section 73 of the Act, namely:
“…to establish and maintain a fund to be used for the examination, research, revision and reform of the law, public access to the law, legal education, the administration of justice in the Province and any other purposes incidental to such objects.”
In addition to administering annual grants that support the legislative mandate, the Foundation also supports three appointed Trustees to administer a trust that funds scholarships at the Schulich School of Law at Dalhousie University. The Law Foundation of Nova Scotia Scholarship Fund (the “Scholarship Fund”) is a registered charity located in Halifax, NS. The charity number for this fund is 118881689RR0001.
The Foundation’s revenues are primarily derived from interest earned on lawyers’ pooled trust accounts in Nova Scotia, based on confidential negotiated arrangements with financial institutions.
The Foundation is governed by a Board of up to nine Directors: up to five appointed by the Governor in Council and up to four appointed by the Council of the Nova Scotia Barristers’ Society. The Board meets approximately three to four times per year. The Foundation employs a 0.8 FTE Executive Director and retains seasonal administrative support.

Purpose of this RFP
The Foundation is seeking expressions of interest from qualified legal counsel to provide legal services to the Foundation and Scholarship Fund on an as‑needed basis. The successful candidate will be retained to advise periodically on matters such as, but not limited to:
grant agreement templates and related documentation;
governance matters relevant to the Foundation;
legal questions arising before the Board;
general legal inquiries consistent with the Foundation’s mandate.
The volume of work may vary from year to year, and services will be requested as needed.
Required Qualifications
Interested applicants must:
Be a practising member of the Nova Scotia Barristers’ Society in good standing;
Demonstrate experience advising not‑for‑profit or charitable organizations;
Demonstrate understanding of governance considerations within the context of non‑profits;
Confirm and briefly articulate how the firm (or practitioner) supports principles of Diversity, Equity, and Inclusion (DEI);
Proposal Submission Requirements
Proposals must include:
An overview of relevant experience and qualifications;
Identification of proposed lead counsel (and team, if applicable);
Conflict disclosure (actual or potential);
Provide an outline of expected compensation, whether by hourly rate or alternative pricing models
