Maintain a comprehensive understanding of the Project Agreements, Schedules to the Agreements and associated Service Provider sub-contracts. Ensure effective liaison with the Partnership Board as required by the contracts and the Management Services Agreement. Manage and participate in Partnership Board meetings and proceedings to assist in ensuring they are properly managed and recorded, including the formulation and issuing of Partner packs and minutes. Manage correct application of contractor and sub-contractor performance monitoring regimes. Ensure that the Service Provider provides evidence of contractual compliance with regard to all matters and in particular: Compliance with performance reporting requirements and the Performance Monitoring Standards in the Sub-Contract; Adherence to the Clients policies and procedures and statutory and legal obligations, including Health and Safety law, Insurance and Employment regulations. Commercial and Financial Management – Liaise with the relevant Finance Manager to ensure that the Project Company’s financial obligations are discharged appropriately in accordance with the contracts and that all invoicing occurs as required. Lead and or participate in the consolidation of permanent Changes (Variations)to the Project Agreement in conjunction with the Client and Service Providers. Ensure that insurance matters are processed and concluded. Ensure that the Project Company’s obligations in respect of Lifecycle Management are discharged in line with contractual requirements. Lead, participate in and conclude required Benchmarking /Market Testing exercises on behalf of the Project Company. Ensure up to date, continuous knowledge and understanding of legislative and statutory changes impacting on the Project Agreements and ensuring appropriate communication and guidance to all parties as required. Participate in the process of ensuring that addendums to the Project Agreement are made in line with such changes/variations. Provide management support and advice to the Project Board to minimize risk/liabilities. Maintain all environmental social governance information and systems as required.     McGill Health Infrastructure Group (MHIG) and Health Montreal Collective (HMC) are two project companies that bring together teams dedicated to managing public-private partnership (PPP) contracts relating to the assets of the McGill University Health Centre (MUHC) and the new University of Montreal Hospital Complex (CHUM). MHIG and HMC are responsible for the design, construction, financing, maintenance, and life cycle of the two hospitals.

    The Director of Contractual and Commercial Affairs assists the Vice President of Operations and the management team in the administration, monitoring, and optimisation of the various contracts related to these large-scale projects.

    Summary of Responsibilities The employee provides daily support to the Vice President of Operations and the management team. He/she ensures the proper administration of contracts between project companies and lenders, contractors, service providers, and public clients. Other contracts are also in place, including those for commercial space leased to the two hospitals.

    Key Responsibilities

    Contract administration

    Support the Vice President of Operations in implementing and complying with all obligations under the Partnership Agreement, project financing documents, and other contractual documents on behalf of the project companies.

    Administer all contracts, including amendments and addenda.

    Prepare, review, and follow up on all official correspondence received or issued by the project companies.

    Actively participate in various multidisciplinary committees and working groups as a representative of the project companies.

    Develop and maintain strong relationships with all key related parties.

    Manage claims/disputes processes for projects.

    Coordinate interactions with external legal counsel.

    Ensure rigorous maintenance of document management systems (electronic and paper).

    Commercial Duties

    Define and participate in key initiatives with the client and the service provider to optimize operations and smooth out potential difficulties.
